Nous nous réservons le droit, à notre entière discrétion, de modifier, d'ajouter ou de supprimer des parties des présentes Conditions générales, à tout moment et pour quelque raison que ce soit. Il vous incombe de consulter régulièrement les présentes Conditions générales pour prendre connaissance des modifications. Votre utilisation continue du site web et de l'application après la publication des modifications vaut acceptation de ces dernières.

Consentement

En utilisant GreenCast® Connect, vous consentez à ce que Syngenta et/ou ses agents collectent, utilisent et divulguent des informations relatives au site web ou à l'application et aux Conditions générales, y compris toute information personnelle associée, aux fins suivantes : (a) votre utilisation et votre participation au site web, à l'application et aux services associés ; et (b) une meilleure compréhension par Syngenta de vos besoins et préférences afin de développer et de proposer des informations, des services et des produits par Syngenta, ses filiales, ses agents ou ses distributeurs/détaillants agréés. Vous reconnaissez et acceptez que Syngenta et ses agents puissent communiquer avec vous par courrier électronique pour des activités commerciales liées à votre utilisation du site web, de l' application et à toute fin prévue par les présentes Conditions générales.

Généralités :
Cette offre est conçue et proposée exclusivement aux gestionnaires professionnels de pelouses et d'espaces verts pour une utilisation dans le cadre de leurs activités de gestion des pelouses et des espaces verts. Les solutions Greencast® Connect offrent un service complet de surveillance et de gestion des informations qui combine du matériel, des logiciels et des analyses de données innovants afin d'optimiser les pratiques d'entretien des pelouses.

GreenCast® Connect est disponible sous forme de service à trois niveaux. Les utilisateurs peuvent s'inscrire et acheter des forfaits incluant l'utilisation de l'application mobile (abonnement Basic gratuit et abonnement Advanced payant). En souscrivant à l'abonnement Pro payant (sur commande), vous recevrez un pack d'abonnement comprenant le matériel (capteurs) tel que décrit sur notre site et expliqué par notre équipe, ainsi qu'un accès illimité à la solution web et mobile. La durée minimale d'abonnement est de 12 mois, sans résiliation possible. Après la période de service obligatoire, votre abonnement sera automatiquement renouvelé pour 12 mois supplémentaires, sauf résiliation de votre part avant la fin de votre abonnement. Pendant la période d'abonnement, le client bénéficie d'une utilisation gratuite et flexible des capteurs, qui restent la propriété de Syngenta. Pour une gestion sécurisée et fiable des abonnements payants, nous utilisons Stripe pour gérer toutes les transactions financières. En général, la solution utilise vos données et les traite, notamment par extrapolation, combinaison avec des données et des informations provenant d'autres sources (par exemple, prévisions météorologiques ou données de capteurs) et utilisation d'algorithmes et de modèles statistiques pour produire les résultats. Le tableau ci-dessous détaille certaines fonctionnalités de l'application.

VEUILLEZ NOTER – Les résultats fournis par l’application dépendent de certains facteurs que nous ne pouvons pas contrôler :

• La météo – en raison de la nature des prévisions météorologiques, les prévisions fournies par nos partenaires de prévisions météorologiques ne seront pas entièrement exactes.
• Prévisions de maladies. Obtient les données de prévisions météorologiques pour le lieu spécifié ( « Lieu » ) afin de fournir les résultats suivants :
  
  • Prévision de la probabilité que les conditions météorologiques (température, humidité, précipitations) à l'emplacement spécifié soient propices à une maladie particulière. Tous les résultats de l'application sont destinés à étayer et à éclairer les décisions de gestion du gazon prises indépendamment par vous, ou lorsque vous utilisez la solution dans le cadre d'un service fourni à vos clients finaux, par vous et vos clients finaux. L'application, y compris les résultats, ne doit être utilisée à aucune autre fin.
• Conditions locales - les conditions sur le lieu peuvent être propices à la maladie même lorsque les prévisions météorologiques sont en dehors des critères de risque.
• Données de tiers – bien que nous prenions des précautions raisonnables pour garantir que nous utilisons des données de tiers de bonne qualité et précises, certaines données de tiers sont mises à notre disposition sans aucune garantie qu’elles soient correctes ou sans erreur.
• Vos contributions - la qualité, l'exactitude et la rapidité de vos contributions peuvent affecter les résultats.
• Les informations peuvent ne pas être entièrement à jour. Nous prenons toutes les précautions nécessaires pour garantir que les informations sur les produits d'entretien du gazon (produits, variétés, équipements, etc.) soient à jour au moment de leur intégration dans la demande. Des données mises à jour peuvent être publiées ponctuellement, mais ne seront intégrées à la demande que périodiquement, lors de la publication d'une mise à jour. Par conséquent, vous ne devez pas vous fier aux informations sur les produits agricoles figurant dans la demande comme étant entièrement à jour.

ATTENTION : De nombreux facteurs influencent la gestion du gazon. Syngenta ne garantit pas que l'application produira les résultats escomptés. Les résultats ne doivent pas être utilisés comme seule base pour prendre des décisions concernant la gestion du gazon ; vous devez faire preuve de jugement professionnel.

Syngenta n'est pas responsable des données provenant de sources autres que Syngenta, y compris tout matériel, logiciel ou toute autre source d'entrée tiers.

Toute information contenue ou référencée dans la demande relative aux produits et services de gestion professionnelle du gazon est fournie pour vous aider à prendre des décisions éclairées. Syngenta ne garantit pas l'exactitude ni l'actualité des informations contenues dans la candidature.

Syngenta Crop Protection AG et ses filiales (« Syngenta ») vous proposent ce service, à condition que vous ayez l'âge légal pour conclure un contrat. L'application ne peut être utilisée qu'après la création d'un compte par l'administrateur.

Vos informations : « Vos informations » comprend tous les textes, données logiciels, photographies, graphiques, vidéos, messages ou autres éléments que vous fournissez à Syngenta lors de votre inscription. Vous êtes seul responsable de l'exactitude et de la sécurité de vos informations. Syngenta peut toutefois prendre toute mesure qu'elle juge nécessaire ou appropriée concernant vos informations, à sa seule discrétion, si elle estime que cela pourrait engager sa responsabilité ou lui faire perdre (en tout ou partie) les services de ses fournisseurs d'accès Internet ou autres partenaires. Vous garantissez par les présentes que vous disposez de tous les droits, y compris les droits d'auteur et tout autre droit de propriété applicable, nécessaires pour soumettre vos informations à Syngenta. Vous reconnaissez que Syngenta n'a aucune responsabilité quant à la détermination des informations qui lui sont soumises devant être protégées.

Obligations d'inscription : Si vous vous inscrivez pour utiliser l'application, vous vous engagez à : (a) fournir des informations véridiques, exactes, à jour et complètes vous concernant ou concernant votre entreprise, conformément à l'application ; et (b) conserver et mettre à jour rapidement ces informations afin qu'elles restent véridiques, exactes, à jour et complètes. Si vous fournissez des informations fausses, inexactes, obsolètes ou incomplètes, ou si Syngenta a des motifs raisonnables de soupçonner que ces informations sont fausses, inexactes, obsolètes ou incomplètes, Syngenta se réserve le droit de suspendre ou de résilier votre inscription à sa seule discrétion et de refuser toute utilisation actuelle ou future de l'application. Si vous vous êtes inscrit auprès de nous au nom d'une entreprise ou d'une autre entité, vous déclarez et garantissez avoir le pouvoir de lier cette entreprise ou autre entité au présent contrat.

Identifiant, mot de passe et sécurité : Lors de votre inscription à l'application, vous pouvez choisir un identifiant et un mot de passe. Votre compte Syngenta et votre identifiant ne peuvent être ni transférés ni vendus à des tiers. Vous êtes seul responsable de la confidentialité de vos identifiant et mot de passe, ainsi que de toutes les activités effectuées avec. Vous vous engagez à (a) informer immédiatement Syngenta de toute utilisation non autorisée de votre identifiant ou mot de passe ou de toute autre violation de sécurité ; et (b) à vous assurer de quitter l'application correctement à la fin de chaque session. Syngenta ne peut être tenue responsable de toute perte ou de tout dommage résultant du non-respect de cette clause.

Règles concernant votre compte : Vous déclarez et garantissez que vos informations et votre utilisation de l'application (a) ne seront pas frauduleuses ou n'impliqueront pas de produits contrefaits, volés ou interdits ; (b) ne porteront pas atteinte aux droits d'auteur, brevets, marques déposées, secrets commerciaux ou autres droits de propriété ou droits de publicité ou de confidentialité d'un tiers ; (c) ne violeront aucun statut, loi, statut, ordonnance ou règlement (y compris, sans limitation, ceux régissant les contrôles à l'exportation, les quotas commerciaux, la protection des consommateurs, la concurrence déloyale, la lutte contre la discrimination ou la publicité mensongère) ; (d) ne seront pas diffamatoires, calomnieuses, illégalement menaçantes ou harcelantes ; (e) ne seront pas obscènes ou ne contiendront pas de pornographie juvénile ; (f) ne contiendront pas de virus, chevaux de Troie, vers, bombes à retardement ou autres routines de programmation informatique destinées à endommager, perturbe,  intercepter subrepticement ou exproprier tout système, donnée ou information personnelle ; (g) de recueillir des adresses électroniques et d’autres informations sur d’autres personnes sans leur consentement ou (h) de créer de fausses adresses électroniques ou de tenter d’induire en erreur d’autres personnes quant à l’identité de l’expéditeur ou à l’origine d’un message.

• Pour créer un compte utilisateur, remplissez le formulaire d'inscription affiché sur le site Web, qui nécessite vos données personnelles.
• La connexion au Compte utilisateur s'effectue en saisissant le login et le mot de passe définis lors de sa création.
• Il n'est pas permis de fournir de fausses données utilisateur et chaque client ne peut avoir qu'un seul compte utilisateur.
• En cas de doutes justifiés quant à l'exactitude des données fournies par l'utilisateur, le vendeur peut s'abstenir de créer un compte utilisateur ou suspendre le fonctionnement du compte utilisateur jusqu'à ce que les doutes soient éclaircis.
• Le compte utilisateur contient les données fournies lors de l'inscription. En cas de modification ultérieure de ces données lors de l'utilisation de la boutique, l'utilisateur est tenu de la mettre à jour immédiatement via la solution.
• Pour une utilisation correcte des fonctionnalités du compte utilisateur, ainsi que pour passer une commande, il est nécessaire d’activer les témoins (cookies) dans le navigateur Web. Les témoins sont utilisés pour maintenir la session de l’utilisateur après la connexion au compte et pour maintenir le processus de commande.

Passer une commande

• Les informations présentées sur le site ou l’offre d’abonnement, notamment concernant les prix, constituent une invitation à conclure un contrat de vente et ne constituent pas une offre de vente.
• Afin de souscrire un abonnement, une commande doit être passée.
• L’abonnement est commandé par le site de la boutique en utilisant le bon de commande.
• Afin de passer une commande, les étapes suivantes doivent être effectuées :
  
  • Connectez-vous au compte utilisateur;
  • Sélectionnez l’abonnement qui fait l’objet de la commande, puis cliquez sur le bouton « S’inscrire »;
  • Saisissez les données de la facture, si elles sont différentes des données de l’utilisateur;
  • Cliquez sur le bouton « S’inscrire »;
  • Choisissez l’un des modes de paiement disponibles et – selon le mode de paiement – payez la commande dans le délai spécifié.

Conditions de paiement

Niveaux d'abonnement et tarifs : GreenCast Connect propose trois niveaux d'abonnement :

• Basique : Abonnement gratuit en échange de l'inscription, aucun paiement requis.
• Avancé : passez de la version Basic à la version Standard en acceptant un paiement d'abonnement mensuel ou annuel.
• Pro : passez de la version Basic ou Advanced à la version Advanced en acceptant un abonnement annuel, avec des options de paiements mensuels ou annuels.

Les détails de tarification actuels pour les niveaux Advanced et Pro sont disponibles sur www.greencastconnect.com.

Traitement des paiements : Tous les paiements sont traités de manière sécurisée par Stripe, notre plateforme de paiement tierce. En souscrivant à nos services payants, vous acceptez les conditions d'utilisation et la politique de confidentialité de Stripe.

Conditions de facturation et de paiement :

• Niveau avancé :
  
  • Facturé mensuellement à l'avance.
  • Paiement dû avant l'activation de l'abonnement.
  • Les paiements ultérieurs sont automatiquement facturés le même jour calendaire chaque mois.
  • Le service continue après le traitement réussi du paiement.
• Niveau Premium :
  
  • Facturé annuellement à l'avance.
  • Le paiement intégral du contrat d'abonnement annuel est dû lors de l'activation.
  • Des paiements mensuels sont disponibles pour des frais supplémentaires.
  • Service actif pour une période complète de 12 mois dès confirmation du paiement.

Droits et taxes : Tous les droits, taxes et frais gouvernementaux applicables sont exclus des prix d'abonnement affichés et seront calculés et ajoutés lors du processus de paiement en fonction de votre lieu de facturation.

Modes de paiement : Nous acceptons les principales cartes de crédit et autres modes de paiement pris en charge par Stripe dans votre région. Les informations de paiement sont stockées en toute sécurité par Stripe et ne sont pas conservées dans nos systèmes.

Échecs de paiement : Les échecs de paiement peuvent entraîner une suspension du service. Vous serez informé des échecs de paiement et aurez la possibilité de mettre à jour vos informations de paiement avant l'interruption du service.

Matériel d'expédition

Sous réserve de disponibilité des stocks. Nous nous efforçons de maintenir un inventaire précis, mais il peut arriver qu'un écart de stock survienne et que nous ne puissions pas livrer tous vos articles au moment de l'achat. Dans ce cas, nous vous livrerons les produits disponibles et vous contacterons pour vous informer des modalités d'expédition des articles restants.

Frais de livraison : Les frais de livraison nationaux sont déjà inclus dans l'offre de service pour l'abonnement et indépendants du nombre de capteurs.

‍

Conditions de livraison :

• Délai de transit national : En général, à titre indicatif, les envois nationaux sont en transit entre 2 et 7 jours. Nous pourrons vous fournir une estimation plus précise une fois le numéro de suivi du transporteur disponible.
• Délai de livraison international : En général, à titre indicatif, les commandes expédiées à l'international prennent entre 4 et 22 jours. Ce délai varie considérablement selon le transporteur. Nous pourrons vous fournir une estimation plus précise une fois le numéro de suivi du transporteur disponible.
• Délai d'expédition : Les commandes sont généralement expédiées sous 5 jours ouvrés après confirmation de commande. Notre entrepôt est ouvert du lundi au vendredi aux heures d'ouverture habituelles, sauf les jours fériés, où il est fermé. Dans ces cas-là, nous prenons des mesures pour minimiser les délais de livraison.
• Changement d'adresse de livraison : Pour les demandes de changement d'adresse de livraison, nous pouvons modifier l'adresse à tout moment avant l'expédition de la commande.
• Articles en rupture de stock : Si un article est en rupture de stock, nous expédierons immédiatement les articles en stock et enverrons les articles restants une fois qu'ils seront de nouveau en stock.
• Délai de livraison dépassé : Si le délai de livraison a dépassé le délai prévu, veuillez nous contacter afin que nous puissions enquêter.
• Notifications de suivi : Lors de l'expédition, les clients recevront un lien de suivi à partir duquel ils pourront suivre la progression de leur envoi en fonction des dernières mises à jour mises à disposition par le fournisseur d'expédition.

Droits et taxes : Des droits et taxes d'importation peuvent être exigibles à l'arrivée dans le pays de destination. Cela varie selon le pays, et Syngenta vous encourage à prendre connaissance de ces frais potentiels avant de passer commande. Si vous refusez de payer les droits et taxes à l'arrivée dans le pays de destination, les marchandises seront retournées à Syngenta aux frais du client.

Assurances : Les colis sont assurés contre la perte et les dommages jusqu'à la valeur indiquée par le transporteur. Procédure pour les colis endommagés pendant le transport : Nous procéderons au remplacement dès que le transporteur aura terminé son enquête et jugé le colis endommagé. Procédure pour les colis perdus pendant le transport : Nous procéderons au remplacement dès que le transporteur aura examiné et jugé le colis perdu.

Dommages et problèmes

Veuillez inspecter votre commande dès réception et nous contacter immédiatement si l'article est défectueux, endommagé ou si vous recevez le mauvais article, afin que nous puissions évaluer le problème et y remédier. Tout problème doit être signalé à Syngenta dans les 30 jours suivant la réception de l'équipement.

‍

Veuillez nous contacter si vous rencontrez des problèmes techniques ou si l'un des équipements livrés (capteurs) est endommagé pendant la période de service. Chaque cas sera étudié individuellement et nous déciderons si le remplacement de l'équipement endommagé entraîne des frais supplémentaires ou si le remplacement peut être effectué gratuitement. Si l'équipement défectueux est toujours sous garantie et ne fonctionne plus en raison d'un défaut de fabrication ou de tout autre problème non causé par des facteurs externes, il sera remplacé gratuitement. En cas de dommage intentionnel, de mauvaise manipulation ou de facteurs externes, le coût de remplacement sera facturé au titulaire de l'abonnement.

Retours

Pour organiser le retour de votre matériel (capteur) après les 12 mois obligatoires, en cas de résiliation du service ou d'arrivée en fin de vie de l'équipement, veuillez nous contacter. Si vous souhaitez cesser d'utiliser notre service, veuillez résilier votre abonnement dans le délai de préavis avant de nous l'envoyer. Les modalités de retour de l'équipement à Syngenta vous seront communiquées par courriel.

Garantie sur le matériel

Syngenta offre une garantie sur les biens matériels livrés dans le cadre du service. Cela inclut tous les articles inclus dans l'abonnement auquel vous avez souscrit. Les réclamations découlant de cette garantie sont prescrites dans les 12 mois suivant la réception des biens et concernent toujours l'abonnement proposé dans notre boutique.

‍

En cas de dommages subis par le Client ou intentionnellement, Syngenta ne sera pas tenue responsable si ces dommages auraient pu être évités par des activités opérationnelles normales, en installant le matériel dans un endroit sûr, en vérifiant régulièrement les données et leur exactitude ou en signalant les problèmes techniques à l'avance à Syngenta.

Remboursements

Syngenta n'offre aucun remboursement pour le service proposé. En vous inscrivant à notre service, vous vous engagez à l'utiliser pendant au moins 12 mois. Aucune clause de renflouement n'est prévue avant la fin de la durée minimale du service.

‍

Résiliation

Les obligations et responsabilités des parties contractées avant la date de résiliation survivront à la résiliation du présent accord à toutes fins utiles. Les présentes Conditions d'utilisation restent en vigueur jusqu'à leur résiliation par vous ou par nous.

‍

Vous pouvez résilier les présentes Conditions d'utilisation à tout moment en nous notifiant que vous ne souhaitez plus utiliser nos services après la période d'abonnement obligatoire convenue.

‍

Si, selon notre seul jugement, vous ne respectez pas, ou si nous soupçonnons que vous ne respectez pas, l’une des conditions ou dispositions des présentes Conditions d’utilisation, nous pouvons également résilier cet accord à tout moment sans préavis, et vous resterez responsable de tous les montants dus jusqu’à la date de résiliation incluse; et/ou nous pouvons en conséquence vous refuser l’accès à nos services (ou à toute partie de ceux-ci). De telles circonstances comprennent les suivantes, sans s’y limiter :

‍

• le client ne paie pas les frais d’abonnement requis dans le délai imparti ; 
• il existe des indications que le client utilise le Service à des fins qui sont contraires à l’accord ;
• une autorité judiciaire ordonne à Syngenta, avec effet juridiquement contraignant, de cesser de fournir le Service au client ; 
• l'utilisation du Service est altérée par le client ; 
• il existe des raisons de croire que le client a fait des déclarations incorrectes ou incomplètes lors de la conclusion du contrat ; 
• le client est en défaut de paiement répété après avoir reçu plusieurs rappels ; 
• il y a une utilisation inappropriée du Service qui n'est pas conforme à nos accords et conditions ;
• le client déménage et ne peut pas utiliser le Service à son nouveau domicile ;
• le client est décédé.

Syngenta peut mettre fin à votre utilisation du site web, de l'application et du Service à tout moment et pour quelque raison que ce soit, en vous adressant un préavis de résiliation. GreenCast^® Connect Terms and Conditions

The GreenCast® Connect solution (the “site”, “page”, “application”) is offered by Syngenta Canada Inc, 140 Research Lane, Guelph, ON N1G 4Z3, Canada (“Syngenta”, “we”, “us”) - the “data controller”.  

This version of the Terms & Conditions supersedes all previous versions, and we reserve the right to make changes to the Terms & Conditions at any time for any reason.

By using GreenCast® Connect, you agree and consent to these Terms and Conditions; If you do not agree and consent, do not use GreenCast® Connect.

‍

We reserve the right, in our sole discretion, to change, modify, add, or remove portions of these Terms and Conditions, at any time for any reason.  It is your responsibility to check these Terms and Conditions periodically for changes.  Your continued use of the website and application following the posting of changes will mean that you accept and agree to the changes.

Consent

By using GreenCast® Connect, you agree to the Terms and Conditions, and in accordance with our Privacy Statement on the site, you consent to Syngenta’s and/or its agent’s collection, use, and disclosure of information as it relates to the website or application and the Terms and Conditions, including any associated personal information, for the following purposes: (a) your use and participation in the website, application and associated services; and (b) Syngenta’s better understanding of your needs and preferences in order to develop and offer information, services, and products by Syngenta, Syngenta’s affiliates, Syngenta’s agents or Syngenta’s authorized distributors/retailers.  You acknowledge and agree that Syngenta and its agents may communicate with you by electronic messages for commercial activities associated with your use as it relates to the website, application and any purposes contemplated under these Terms and Conditions.

General
The offering is designed for and offered only to Professional Turf and Landscape Managers for use in relation to turf and landscape management activities. Greencast® Connect solutions offer a comprehensive information monitoring and management service that combines innovative hardware, software, and data analytics to help optimize turf care practices. 

GreenCast® Connect is is available as a three-tier service model where users can sign up and purchase plans that include the use of the mobile application in the free Basic tier and paid Advanced tier.  By signing up for the paid Pro subscription tier (placing an order), you will receive a subscription package containing the hardware (sensors) as described on our site and explained by our team and unlimited access to the web and mobile solution. Minimum duration per subscription is 12 months with no termination allowed. After the mandatory service duration, your subscription will be automatically renewed for another 12 months unless you cancel prior your subscription ends. During the subscription period, the customer has free and flexible usage of the sensors, but they remain owned by Syngenta. To operate and manage the paid subscriptions in a secure and reliable way, we are leveraging Stripe to manage all financial transactions. In general, the solution uses your inputs and processes them, including through extrapolation, combination with data and insights from other sources (for example, weather forecasts or sensor data) and the use of algorithms and statistical models to produce the outputs. There is more detail on some of the individual features of the application in the table below.

PLEASE NOTE – The outputs provided by the application are dependent upon some factors that we cannot control:

• The weather – due to the nature of weather forecasting, forecasts provided by our weather forecasting partners will not be entirely accurate.
• Disease Forecast. Obtains weather forecast data for the location that you specify (“Location”) to provide the following Outputs:
  
  • a prediction of the likelihood that the weather conditions (temperature, humidity, rainfall) in the specified Location may be conducive to a particular disease. All the application’s outputs are intended to be used to support and inform turf management decisions taken independently by you, or where you use the solution as part of a service you provide to your End Customers, by you and your End Customers. The application, including the Outputs, should not be used for any other purpose.
• Local conditions - conditions at the Location may be conducive to disease even when the weather forecast is outside the risk criteria.
• Third party data – although we take reasonable care to ensure that we use good quality, accurate third-party data, some third-party data is made available for use by us without any warranty that it is correct or error-free.
• Your Inputs - the quality, accuracy and timeliness of Your Inputs may affect the Outputs.
• Information may not be fully up to date - we take reasonable care to ensure that information about turf care products (for example, products, varieties, equipment) is up to date at the time when it is incorporated in the application. Updated data may be released from time to time but will only be incorporated into the application periodically when we release an application update. Therefore, you should not rely on agricultural product information in the application as being fully up to date.

PLEASE NOTE: There are many factors which influence turf management. Syngenta does not provide any guarantee that use of the application will produce the desired results. The Outputs should not be used as the sole basis for making turf management decisions and you should exercise your professional judgment.

Syngenta is not liable for data input from non-Syngenta sources, including any 3rd party hardware, software, or any other input sources. 

Any information contained or referenced in the application relating to professional turf management products and services is provided to support and inform your independent decisions. Syngenta does not provide any guarantee that the information within the application is accurate or fully up to date.

Read and follow the label: If you use any product (whether Syngenta’s or a third party’s) you must read and follow the label accompanying that product and comply with all applicable laws and regulations relating to the use of that product.

In particular, you agree that you are responsible for inspecting your turf and exercising your judgment in deciding whether to follow any recommendation or other Outputs from the application, and for implementing turf management practices in accordance with good practice, stewardship guidance and any applicable laws and regulations. We draw your attention to sections “Disclaimer” and Limitation of Liability below.

If you are a consumer, you may not use the website and application. If you use the website and application, you represent and warrant that you are not doing so in a consumer capacity (private use) but in a professional capacity and on behalf of a company or other business entity, or on behalf of a research institute or public body (“Business”). You also represent and warrant that you are authorized to bind the Business to the Terms & Conditions. Unless the context otherwise requires, in the Terms & Conditions, “you” and “your” means both the person who uses the website and application and the Business on behalf of which the website and application is being used.

By using GreenCast® Connect, you agree to be bound by these Terms & Conditions (together with any policies cited within these Terms & Conditions). Please review these Terms & Conditions carefully before you use the service. If you do not agree with these Terms & Conditions, you should stop using the website and application immediately.

Any new features or tools which are added to the current solution shall also be subject to the Terms of Service. You can review the most current version of the Terms of Service at any time on this page. Your continued use of or access to the website and application following the posting of any changes constitutes acceptance of those changes. 

By agreeing with the Terms of Service, you represent that you are at least the age of majority in your country of residence. You may not use our products or services for any illegal or unauthorized purpose nor may you, in the use of the Service, violate any laws in your jurisdiction. A breach or violation of any of the Terms will result in an immediate termination of your services.

We reserve the right to refuse Service to anyone for any reason at any time. You understand that your content (not including credit card information), may be transferred unencrypted and involve (a) transmissions over various networks; and (b) changes to conform and adapt to technical requirements of connecting networks or devices. Credit card information is always encrypted during transfer over networks. You agree not to reproduce, duplicate, copy, sell, resell or exploit any portion of the Service, use of the Service, or access to the Service or any contact on the website through which the Service is provided, without express written permission by us.

Entire Agreement 

The failure of us to exercise or enforce any right or provision of these Terms of Service shall not constitute a waiver of such right or provision.

These Terms of Service and any policies or operating rules posted by us on this site or in respect to the Service constitutes the entire agreement and understanding between you and us and govern your use of the Service, superseding any prior or contemporaneous agreements, communications and proposals, whether oral or written, between you and us (including, but not limited to, any prior version of the Terms of Service).  Any ambiguities in the interpretation of these Terms of Service shall not be construed against the drafting party.

Conditions of Use

Syngenta Crop Protection AG and its Affiliates (“Syngenta”) offer this service to you, provided that you are of legal age to form a binding contract. The application can only be used after creation of an account by the administrator. 

‍

Your Information: “Your Information” includes any information data, text, software, photographs, graphics, video, messages or other materials you provide to Syngenta during the registration. You are solely responsible for the accuracy and security of your Information.  Syngenta may take any action, however, with respect to your Information that Syngenta deems necessary or appropriate in its sole discretion if it believes it may create liability for Syngenta or may cause Syngenta to lose (in whole or in part) the services of its internet service providers or other service partners.  You hereby warrant that you have all rights, including copyrights and any other applicable proprietary rights necessary to submit your Information to Syngenta. You acknowledge that Syngenta does not have any responsibility to determine what information that is submitted to Syngenta should be protected.

Registration Obligations: If you register to use the application, you agree to: (a) provide true, accurate, current and complete information about yourself or company as prompted by the application and (b) maintain and promptly update the information to keep it true, accurate, current and complete. If you provide any information that is untrue, inaccurate, not current or incomplete, or if Syngenta has reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete, Syngenta has the right to suspend or terminate your registration at Syngenta’s sole discretion and refuse any and all current or future use of the application.  If you have registered with us on behalf of a company or other entity that you represent and warrant that you have the authority to bind such company or other entity to this agreement.

User ID, Password and Security: During the registration to use the application, you may select a User ID and password. Your Syngenta account and User ID may not be transferred or sold to another party and you are solely responsible for maintaining the confidentiality of your User ID and password and for all activities that occur under your User ID and password. You agree to (a) immediately notify Syngenta of any unauthorized use of your User ID or password or any other breach of security and (b) ensure that you properly exit the application at the end of each session.  Syngenta cannot and will not be liable for any loss or damage arising from your failure to comply with this clause.

Rules about Your Account: You represent and warrant that your Information and your use of the application (a) will not be fraudulent or involve counterfeit, stolen or banned goods; (b) will not infringe any third party’s copyright, patent, trademark, trade secret or other proprietary rights or rights of publicity or privacy; (c) will not violate any law, statute, ordinance or regulation (including, without limitation, those governing export controls, trade quotas, consumer protection, unfair competition, anti-discrimination or false advertising); (d) will not be defamatory, trade libelous, unlawfully threatening or harassing; (e) will not be obscene or contain child pornography; (f) will not contain any viruses, Trojan horses, worms, time bombs or other computer programming routines that are intended to damage, detrimentally interfere with, surreptitiously intercept or expropriate any system, data or personal information;  (g) to collect e-mail addresses and other information about others without their consent or (h) to create false e-mail addresses or otherwise attempt to mislead others as to the identity of the sender or the origin of a message.

• To set up a user account, complete the registration form displayed on the website, which requires your personal details. 
• Logging in to the user Account is done by entering the login and password set when creating it.
• It is not allowed to provide false User data and each customer may have only one user account.
• In the event of justified doubts as to the accuracy of the data provided by the user, the seller may refrain from creating a user account or suspend the functioning of the user account until the doubts are clarified.
• The user account contains the data provided by the user during registration. In the event of a later change of any of these data while using the store, the user is obliged to immediately update them using the solution
• For the proper use of the user account functionality, as well as for placing an order, it is required to enable cookies in the web browser. Cookies are used to maintain the user's session after logging into the account and to maintain the ordering process.

Placing an Order 

• The information presented on the site or subscription offering, in particular regarding prices, constitutes an invitation to enter into a sales contract and is not an offer for sale.
• In order to sign up for a subscription, an order must be placed.
• The subscription is ordered through the store's website using the order form.
• In order to place an order, the following steps must be performed:
  
  • log in to the user account;
  • select the subscription that is the subject of the order, and then click the "Add to Cart";
  • enter the invoice data, if different from the user's data;
  • click the "Place an order" button;
  • choose one of the available payment methods and - depending on the method of payment - pay for the order within the period specified.

Payment Terms

Subscription Tiers and Pricing: GreenCast Connect offers three subscription tiers:

• Basic: Free subscription in return for registration, no payment required.
• Advanced: Upgrade from Basic by agreeing to monthly or annual subscription payment.
• Pro: Upgrade from Basic or Advanced by agreeing to annual subscription, with options for monthly or annual payments.

Payment Processing: All payments are processed securely through Stripe, our third-party payment processor. By subscribing to our paid services, you agree to Stripe's terms of service and privacy policy.

Billing and Payment Terms:

• Advanced Tier:
  
  • Billed monthly in advance.
  • Payment due before subscription activation.
  • Subsequent payments are automatically charged on the same calendar day each month.
  • Service continues upon successful payment processing.
• Premium Tier:
  
  • Billed annually in advance.
  • Full contract payment for annual subscription due upon activation.
  • Monthly payments are available for additional charges.
  • Service active for a full 12-month period upon payment confirmation.

Duties and Taxes: All applicable duties, taxes, and government fees are excluded from the displayed subscription prices and will be calculated and added during the checkout process based on your billing location.

Payment Methods: We accept major credit cards and other payment methods supported by Stripe in your region. Payment information is stored securely by Stripe and not retained on our systems.

Payment Failures: Failed payments may result in service suspension. You will receive notification of payment failures and opportunity to update payment information before service interruption.

Shipping hardware

Subject to stock availability. We try to maintain accurate stock counts but from time-to-time there may be a stock discrepancy, and we will not be able to fulfill all your items at time of purchase. In this instance, we will fulfill the available products to you and contact you about shipment details of the remaining items.

Shipping Costs: Domestic shipping costs are already included in the service offering for the subscription and independent of the number of sensors. 

‍

Delivery Terms:

• Transit Time Domestically: In general, as an estimate only, domestic shipments are in transit for 2 - 7 days. We are able to offer a more specific estimate once courier tracking number is available.  
• Transit time Internationally: Generally, as an estimate only, orders shipped internationally are in transit for 4 - 22 days. This varies greatly depending on the courier. We can offer a more specific estimate once courier tracking number is available.  
• Dispatch Time: Orders are usually dispatched within 5 business days upon order confirmation. Our warehouse operates on Monday - Friday during standard business hours, except on national holidays at which time the warehouse will be closed. In these instances, we take steps to ensure shipment delays will be kept to a minimum.
• Change of Delivery Address: For change of delivery address requests, we can change the address at any time before the order has been dispatched.
• Items Out of Stock: If an item is out of stock, we will dispatch the in-stock items immediately and send the remaining items once they return to stock.
• Delivery Time Exceeded: If delivery time has exceeded the forecasted time, please contact us so that we can investigate.
• Tracking Notifications: Upon dispatch, customers will receive a tracking link from which they will be able to follow the progress of their shipment based on the latest updates made available by the shipping provider.

Duties and Taxes: Import duties and taxes for shipments may be liable to be paid upon arrival in destination country. This varies by country, and Syngenta encourage you to be aware of these potential costs before placing an order with us. If you refuse to pay duties and taxes upon arrival at your destination country, the goods will be returned to Syngenta at the customer’s expense.

Insurances: Parcels are insured for loss and damage up to the value as stated by the courier. Process for parcel damaged in-transit: We will process a replacement as soon as the courier has completed their investigation into the claim and deemed the parcel damaged. Process for parcel lost in-transit: We will process a replacement as soon as the courier has investigated and deemed the parcel lost.

Damages and issues 

Please inspect your order upon reception and contact us immediately if the item is defective, damaged or if you receive the wrong item, so that we can evaluate the issue and make it right. Any issues must be reported to Syngenta withing 30 days after arrival of the equipment. 

‍

Please contact us if you experienced technical issues or some of the delivered equipment (sensors) get damaged during your service period. Each case will be reviewed individually and decided if additional cost needs to be charged to replace a damaged equipment or it can be done for free. If the faulty equipment is still under warranty and not functional anymore because of production error or any other issue not caused by external factors, the equipment will be replaced at no cost. If the equipment gets damaged on purpose, through incorrect handling or through external factors, a replacement cost will be charged to the service subscription owner.

Returns 

To arrange a hardware (sensor) return after the mandatory 12 months and upon service cancellation or an equipment reached end of life period, please contact us. If you want to stop using our service, make sure you cancel your subscription within the notice period before sending us. Details on how to return the equipment back to Syngenta will be shared with you by e-mail

‍

Warranty on hardware

Syngenta is providing warranty on physical goods delivered to you as part of the service. This includes all items that are part of the subscription you signed-up to claims arising from that warranty become statute-barred within 12 months after the goods have been received and are always per subscription package as outlined in our shop.

‍

Where damages sustained by the Customer or on purpose, Syngenta shall not be held liable if such damage could have been avoided with normal operational activities, installing the hardware in a secure place, reviewing data and its correctness regularly or reporting and technical issues in advance to Syngenta.   

‍

Refunds

Syngenta is not offering any refund for the offered service and by signing up for our service, you are obligated to use the service for a minimum of 12 months. There is no bail out policy before the end of the minimum service duration. 

‍

Termination 

The obligations and liabilities of the parties incurred prior to the termination date shall survive the termination of this agreement for all purposes. These Terms of Service are effective unless and until terminated by either you or us. 

‍

You may terminate these Terms of Service at any time by notifying us that you no longer wish to use our services after the agreed mandatory subscription period of 

If in our sole judgment you fail, or we suspect that you have failed, to comply with any term or provision of these Terms of Service, we also may terminate this agreement at any time without notice and you will remain liable for all amounts due up to and including the date of termination; and/or accordingly may deny you access to our services (or any part thereof). Such circumstances shall include, but are not limited to:  

• the customer does not pay the required subscription fee within the specified period; 
• there are indications that the customer is using the Service for purposes that are in breach of the agreement;
• a judicial authority orders Syngenta, with legally binding effect, to discontinue providing the Service to the customer; 
• the use of the Service is impaired by the customer; 
• there is reason to believe that the customer made incorrect or incomplete disclosures when concluding the contract; 
• the customer is in repeated default of payment after having received several reminders; 
• there is any improper use of the Service which is not in line with our agreements and terms;
• the customer relocates and cannot use the Service at his or her new domicile;
• the customer is deceased.

Syngenta may terminate your use of the website, application and the Service at any time and for any reason by giving notice of termination to you. Upon any termination (a) the rights and licenses granted to you herein shall terminate and (b) your account will be disabled, and you will not be granted access to the website, application and its services. Syngenta will terminate your use of the website, application and disable your account at the end of your Service subscription period.

API Integration

Customers using https://app.greencastconnect.com have the ability to generate an API Key that allows them to integrate all sensor data with third-party applications. By using this feature, you acknowledge and agree that:

• Syngenta and its partners are not responsible for any functionalities delivered by third-party applications.
• Syngenta and its partners cannot be held liable for any issues that occur on third-party platforms as a result of this integration and do not provide technical support.
• You are solely responsible for the security and proper use of your API Key.
• Any data shared with third-party applications through this integration is subject to the privacy policies and terms of service of those third-party applications.

It is your responsibility to review and comply with the terms and conditions of any third-party application you choose to integrate with using the API Key.

‍

Prohibited Uses 

In addition to other prohibitions as set forth in the Terms & Conditions, you are prohibited from using the website, application or its services and content for reasons including, but not limited to: 

• for any unlawful purpose; 
• to solicit others to perform or participate in any unlawful acts; 
• to violate any international, federal, provincial or state regulations, rules, laws, or local ordinances; 
• to infringe upon or violate our intellectual property rights or the intellectual property rights of others; 
• to harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate based on gender, sexual orientation, religion, ethnicity, race, age, national origin, or disability; 
• to submit false or misleading information; 
• to upload or transmit viruses or any other type of malicious code that will or may be used in any way that will affect the functionality or operation of the application and its services; 
• to collect or track the personal information of others; 
• to spam, phish, pharm, or pretext; 
• for any obscene or immoral purpose; or 
• to interfere with or circumvent the security features of the application and its services.

We reserve the right to terminate your use of the website and  application and its content and services for violating any of the prohibited uses.

Optional Tools 

We may provide you with access to third-party tools over which we neither monitor nor have any control nor input. You acknowledge and agree that we provide access to such tools ”as-is” and “as available” without any warranties, representations or conditions of any kind and without any endorsement. We shall have no liability whatsoever arising from or relating to your use of optional third-party tools.

You should ensure that you are familiar with and approve of the terms on which tools are provided by the relevant third-party provider(s). We may also, in the future, offer new services and/or features through the website. Such new features and/or services shall also be subject to these Terms of Service.

Data Protection

Any personal information you supply to Syngenta via the website and application will be used and protected in accordance with the Privacy Policy also available on the page.

Syngenta is committed to respecting the personal privacy of the individuals who use the solution. The Privacy Statement describes Syngenta’s current policies and practices with regards to the personal information collected by Syngenta.  The Privacy Statement is part of these Terms & Conditions. When you agree to be bound by these Terms & Conditions, you are consenting to the collection, use and disclosure of your personal information in accordance with the Privacy Statement.

Accuracy, Completeness, and Timeliness of Information 

This site and the application may contain certain historical information. Historical information, necessarily, is not current and is provided for your reference only. We reserve the right to modify the contents of this site at any time, but we have no obligation to update any information on our site. General
The offering is designed for and offered only to Professional Turf and Landscape Managers for use in relation to turf and landscape management control activities. Greencast® Connect solutions offer a comprehensive information monitoring and management service that combines innovative hardware, software, and data analytics to help optimize turf care practices. 

GreenCast® Connect is is available as a three-tier service model where users can sign up and purchase plans that include the use of the mobile application in the free Basic tier and paid Advanced tier.  By signing up for the paid Pro subscription tier (placing an order), you will receive a subscription package containing the hardware (sensors) as described on our site and explained by our team and unlimited access to the web and mobile solution. Minimum duration per subscription is 12 months with no termination allowed. After the mandatory service duration, your subscription will be automatically renewed for another 12 months unless you cancel prior your subscription ends. During the subscription period, the customer has free and flexible usage of the sensors, but they remain owned by Syngenta. To operate and manage the paid subscriptions in a secure and reliable way, we are leveraging Stripe to manage all financial transactions. In general, the solution uses your inputs and processes them, including through extrapolation, combination with data and insights from other sources (for example, weather forecasts or sensor data) and the use of algorithms and statistical models to produce the outputs. There is more detail on some of the individual features of the application in the table below.

PLEASE NOTE – The outputs provided by the application are dependent upon some factors that we cannot control:

• The weather – due to the nature of weather forecasting, forecasts provided by our weather forecasting partners will not be entirely accurate.
• Disease Forecast. Obtains weather forecast data for the location that you specify (“Location”) to provide the following Outputs:
  
  • a prediction of the likelihood that the weather conditions (temperature, humidity, rainfall) in the specified Location may be conducive to a particular disease. All the application’s outputs are intended to be used to support and inform turf management decisions taken independently by you, or where you use the solution as part of a service you provide to your End Customers, by you and your End Customers. The application, including the Outputs, should not be used for any other purpose.
• Local conditions - conditions at the Location may be conducive to disease even when the weather forecast is outside the risk criteria.
• Third party data – although we take reasonable care to ensure that we use good quality, accurate third-party data, some third-party data is made available for use by us without any warranty that it is correct or error-free.
• Your Inputs - the quality, accuracy and timeliness of Your Inputs may affect the Outputs.
• Information may not be fully up to date - we take reasonable care to ensure that information about turf care products (for example, products, varieties, equipment) is up to date at the time when it is incorporated in the application. Updated data may be released from time to time but will only be incorporated into the application periodically when we release an application update. Therefore, you should not rely on agricultural product information in the application as being fully up to date.

PLEASE NOTE: There are many factors which influence turf management. Syngenta does not provide any guarantee that use of the application will produce the desired results. The Outputs should not be used as the sole basis for making turf management decisions and you should exercise your professional judgment.

Syngenta is not liable for data input from non-Syngenta sources, including any 3rd party hardware, software, or any other input sources. 

Any information contained or referenced in the application relating to professional turf management products and services is provided to support and inform your independent decisions. Syngenta does not provide any guarantee that the information within the application is accurate or fully up to date.

If you provide any information that is untrue, inaccurate, not current or incomplete, or if Syngenta has reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete, Syngenta has the right to suspend or terminate your registration at Syngenta’s sole discretion and refuse any and all current or future use of the application.  If you have registered with us on behalf of a company or other entity that you represent and warrant that you have the authority to bind such company or other entity to this agreement.

User ID, Password and Security: During the registration to use the application, you may select a User ID and password. Your Syngenta account and User ID may not be transferred or sold to another party and you are solely responsible for maintaining the confidentiality of your User ID and password and for all activities that occur under your User ID and password. You agree to (a) immediately notify Syngenta of any unauthorized use of your User ID or password or any other breach of security and (b) ensure that you properly exit the application at the end of each session.  Syngenta cannot and will not be liable for any loss or damage arising from your failure to comply with this clause.

Rules about Your Account: You represent and warrant that your Information and your use of the application (a) will not be fraudulent or involve counterfeit, stolen or banned goods; (b) will not infringe any third party’s copyright, patent, trademark, trade secret or other proprietary rights or rights of publicity or privacy; (c) will not violate any law, statute, ordinance or regulation (including, without limitation, those governing export controls, trade quotas, consumer protection, unfair competition, anti-discrimination or false advertising); (d) will not be defamatory, trade libelous, unlawfully threatening or harassing; (e) will not be obscene or contain child pornography; (f) will not contain any viruses, Trojan horses, worms, time bombs or other computer programming routines that are intended to damage, detrimentally interfere with, surreptitiously intercept or expropriate any system, data or personal information;  (g) to collect e-mail addresses and other information about others without their consent or (h) to create false e-mail addresses or otherwise attempt to mislead others as to the identity of the sender or the origin of a message.

• To set up a user account, complete the registration form displayed on the website, which requires your personal details. 
• Logging in to the user Account is done by entering the login and password set when creating it.
• It is not allowed to provide false User data and each customer may have only one user account.
• In the event of justified doubts as to the accuracy of the data provided by the user, the seller may refrain from creating a user account or suspend the functioning of the user account until the doubts are clarified.
• The user account contains the data provided by the user during registration. In the event of a later change of any of these data while using the store, the user is obliged to immediately update them using the solution

Placing an Order 

• The information presented on the site or subscription offering, in particular regarding prices, constitutes an invitation to enter into a sales contract and is not an offer for sale.
• In order to sign up for a subscription, an order must be placed.
• The subscription is ordered through the store's website using the order form.

Subscription Tiers and Pricing: GreenCast Connect offers three subscription tiers:

• Basic: Free subscription in return for registration, no payment required.
• Advanced: Upgrade from Basic by agreeing to monthly or annual subscription payment.
• Pro: Upgrade from Basic or Advanced by agreeing to annual subscription, with options for monthly or annual payments.

Payment Processing: All payments are processed securely through Stripe, our third-party payment processor. By subscribing to our paid services, you agree to Stripe's terms of service and privacy policy.

Billing and Payment Terms:

• Advanced Tier:
  
  • Billed monthly in advance.
  • Payment due before subscription activation.
  • Subsequent payments are automatically charged on the same calendar day each month.
  • Service continues upon successful payment processing.
• Premium Tier:
  
  • Billed annually in advance.
  • Full contract payment for annual subscription due upon activation.
  • Monthly payments are available for additional charges.
  • Service active for a full 12-month period upon payment confirmation.

Duties and Taxes: All applicable duties, taxes, and government fees are excluded from the displayed subscription prices and will be calculated and added during the checkout process based on your billing location.

Payment Methods: We accept major credit cards and other payment methods supported by Stripe in your region. Payment information is stored securely by Stripe and not retained on our systems.

Payment Failures: Failed payments may result in service suspension. You will receive notification of payment failures and opportunity to update payment information before service interruption.

Shipping hardware

Subject to stock availability. We try to maintain accurate stock counts but from time-to-time there may be a stock discrepancy, and we will not be able to fulfill all your items at time of purchase. In this instance, we will fulfill the available products to you and contact you about shipment details of the remaining items.

Shipping Costs: Domestic shipping costs are already included in the service offering for the subscription and independent of the number of sensors. 

‍

Delivery Terms:

• Transit Time Domestically: In general, as an estimate only, domestic shipments are in transit for 2 - 7 days. We are able to offer a more specific estimate once courier tracking number is available.  
• Transit time Internationally: Generally, as an estimate only, orders shipped internationally are in transit for 4 - 22 days. This varies greatly depending on the courier. We can offer a more specific estimate once courier tracking number is available.  
• Dispatch Time: Orders are usually dispatched within 5 business days upon order confirmation. Our warehouse operates on Monday - Friday during standard business hours, except on national holidays at which time the warehouse will be closed. In these instances, we take steps to ensure shipment delays will be kept to a minimum.
• Change of Delivery Address: For change of delivery address requests, we can change the address at any time before the order has been dispatched.
• Items Out of Stock: If an item is out of stock, we will dispatch the in-stock items immediately and send the remaining items once they return to stock.
• Delivery Time Exceeded: If delivery time has exceeded the forecasted time, please contact us so that we can investigate.
• Tracking Notifications: Upon dispatch, customers will receive a tracking link from which they will be able to follow the progress of their shipment based on the latest updates made available by the shipping provider.

Duties and Taxes: Import duties and taxes for shipments may be liable to be paid upon arrival in destination country. This varies by country, and Syngenta encourage you to be aware of these potential costs before placing an order with us. If you refuse to pay duties and taxes upon arrival at your destination country, the goods will be returned to Syngenta at the customer’s expense.

Insurances: Parcels are insured for loss and damage up to the value as stated by the courier. Process for parcel damaged in-transit: We will process a replacement as soon as the courier has completed their investigation into the claim and deemed the parcel damaged. Process for parcel lost in-transit: We will process a replacement as soon as the courier has investigated and deemed the parcel lost.

Damages and issues 

Please inspect your order upon reception and contact us immediately if the item is defective, damaged or if you receive the wrong item, so that we can evaluate the issue and make it right. Any issues must be reported to Syngenta withing 30 days after arrival of the equipment. 

‍

Please contact us if you experienced technical issues or some of the delivered equipment (sensors) get damaged during your service period. Each case will be reviewed individually and decided if additional cost needs to be charged to replace a damaged equipment or it can be done for free. If the faulty equipment is still under warranty and not functional anymore because of production error or any other issue not caused by external factors, the equipment will be replaced at no cost. If the equipment gets damaged on purpose, through incorrect handling or through external factors, a replacement cost will be charged to the service subscription owner.

Returns 

To arrange a hardware (sensor) return after the mandatory 12 months and upon service cancellation or an equipment reached end of life period, please contact us. If you want to stop using our service, make sure you cancel your subscription within the notice period before sending us. Details on how to return the equipment back to Syngenta will be shared with you by e-mail

‍

Warranty on hardware

Syngenta is providing warranty on physical goods delivered to you as part of the service. This includes all items that are part of the subscription you signed-up to claims arising from that warranty become statute-barred within 12 months after the goods have been received and are always per subscription package as outlined in our shop.

‍

Where damages sustained by the Customer or on purpose, Syngenta shall not be held liable if such damage could have been avoided with normal operational activities, installing the hardware in a secure place, reviewing data and its correctness regularly or reporting and technical issues in advance to Syngenta.   

‍

Refunds

Syngenta is not offering any refund for the offered service and by signing up for our service, you are obligated to use the service for a minimum of 12 months. There is no bail out policy before the end of the minimum service duration. 

‍

Termination 

The obligations and liabilities of the parties incurred prior to the termination date shall survive the termination of this agreement for all purposes. These Terms of Service are effective unless and until terminated by either you or us. 

‍

You may terminate these Terms of Service at any time by notifying us that you no longer wish to use our services after the agreed mandatory subscription period of 

‍

If in our sole judgment you fail, or we suspect that you have failed, to comply with any term or provision of these Terms of Service, we also may terminate this agreement at any time without notice and you will remain liable for all amounts due up to and including the date of termination; and/or accordingly may deny you access to our services (or any part thereof). Such circumstances shall include, but are not limited to:  

• the customer does not pay the required subscription fee within the specified period; 
• there are indications that the customer is using the Service for purposes that are in breach of the agreement;
• a judicial authority orders Syngenta, with legally binding effect, to discontinue providing the Service to the customer; 
• the use of the Service is impaired by the customer; 
• there is reason to believe that the customer made incorrect or incomplete disclosures when concluding the contract; 
• the customer is in repeated default of payment after having received several reminders; 
• there is any improper use of the Service which is not in line with our agreements and terms;
• the customer relocates and cannot use the Service at his or her new domicile;
• the customer is deceased.

Syngenta may terminate your use of the website, application and the Service at any time and for any reason by giving notice of termination to you. Upon any termination (a) the rights and licenses granted to you herein shall terminate and (b) your account will be disabled, and you will not be granted access to the website, application and its services. Syngenta will terminate your use of the website, application and disable your account at the end of your Service subscription period.

API Integration

Customers using https://app.greencastconnect.com have the ability to generate an API Key that allows them to integrate all sensor data with third-party applications. By using this feature, you acknowledge and agree that:

• Syngenta and its partners are not responsible for any functionalities delivered by third-party applications.
• Syngenta and its partners cannot be held liable for any issues that occur on third-party platforms as a result of this integration and do not provide technical support.
• You are solely responsible for the security and proper use of your API Key.
• Any data shared with third-party applications through this integration is subject to the privacy policies and terms of service of those third-party applications.

It is your responsibility to review and comply with the terms and conditions of any third-party application you choose to integrate with using the API Key.

‍

Prohibited Uses 

In addition to other prohibitions as set forth in the Terms & Conditions, you are prohibited from using the website, application or its services and content for reasons including, but not limited to: 

• for any unlawful purpose; 
• to solicit others to perform or participate in any unlawful acts; 
• to violate any international, federal, provincial or state regulations, rules, laws, or local ordinances; 
• to infringe upon or violate our intellectual property rights or the intellectual property rights of others;

• Assignment: You may not assign or otherwise transfer any of your rights or obligations under this agreement.
• Invalidity: If any provision of this agreement is found to be invalid, the invalidity of such provision will not affect the validity of the remaining provisions of this agreement or any service specific terms and conditions.
• Waiver: Failure by either party to exercise any right or remedy under this agreement does not constitute a waiver of such right or remedy.
• Precedence: In the event of any discrepancy or inconsistency between this agreement and any service specific terms and conditions, the service specific terms and conditions shall take precedence.

Indemnification

Severability

Governing Law and Jurisdiction

This agreement (and any dispute, controversy, proceeding or claim of whatsoever nature arising out of or in any way relating to it) shall be governed by, and interpreted in accordance with, the substantive laws of the State of Delaware, United States of America, exclusive of any rules with respect to conflicts of law provisions and the (ordinary) courts of the State of Delaware, United States of America shall have exclusive jurisdiction for any claims relating to this agreement.
